Welcome to FPnAInsights. These Terms and Conditions ("Terms") govern your access to and use of FPnAInsights' website, platform, applications, and related services (collectively, the "Services"). By registering for, accessing, or using FPnAInsights, you agree to be bound by these Terms. If you do not agree, you must discontinue use of the Services immediately.

1. Acceptance of Terms

By using FPnAInsights, you affirm that you are at least 18 years old and legally able to enter into binding agreements. If you are accessing the Services on behalf of a company or organization, you represent that you are authorized to bind that entity to these Terms.

These Terms, along with our Privacy Policy, form the entire agreement between you and FPnAInsights. We may update these Terms periodically, and any changes will be effective upon posting on our website. Continued use of the Services constitutes acceptance of the updated Terms.

2. Use of Our Services

FPnAInsights provides an AI-powered financial planning and analytics platform intended for legitimate business use. We grant you a limited, non-exclusive, non-transferable license to use the Services solely for your internal business operations.

You agree to:

  • Provide accurate registration details and keep your account credentials secure.
  • Use the Services only in accordance with applicable laws and regulations.
  • Ensure that any data you provide is lawful, accurate, and does not infringe on third-party rights.

You must not:

  • Copy, modify, reverse-engineer, or attempt to extract source code from the Platform.
  • Use the Services to transmit viruses, malware, or unauthorized code.
  • Interfere with or disrupt the integrity or performance of the Services.
  • Resell, sublicense, or make the Services available to third parties without written authorization.

3. Subscriptions, Fees, and Payment

FPnAInsights operates on a subscription basis with tiers such as Starter, Professional, and Enterprise which include Collaborator, Business User and View-Only licenses with the modules as described in our pricing page. FPnAInsights gives the option to the clients to sign-up and add additional modules such as Performance Management specific to any department which is not part of the license packages.

Key terms include:

  • Subscriptions: are billed in advance on an annual basis, as selected during sign-up.
  • Automatic Renewal: Subscriptions automatically renew unless canceled before the renewal date.
  • Non-refundable: Fees are non-refundable except as required by law.
  • Taxes: Prices exclude applicable sales or value-added taxes, which will be added as required.
  • Price Changes: We reserve the right to modify pricing, effective at the next renewal.
  • Upgrades/Downgrades: Upgrades take effect immediately and may incur prorated charges. Downgrades apply at the next billing cycle.

4. Privacy and Data Protection

At FPnAInsights, we value your privacy. Our collection, use, and storage of your data are governed by our Privacy Policy and is compliant with ISO 27001 and SOC II regulations. For detailed information about the privacy policy, please refer to our Privacy Policy published.

  • Data Ownership: You retain ownership of the business, financial, or operational data you provide ("Customer Data").
  • License Grant: By using the Services, you grant us a limited license to host, analyze, and process Customer Data solely to provide the Services.
  • Security: We use commercially reasonable safeguards to protect Customer Data but cannot guarantee absolute security.
  • Compliance: You are responsible for ensuring your use of the Services complies with applicable data protection and privacy laws.

5. AI-Generated Insights Disclaimer

FPnAInsights uses artificial intelligence to provide forecasts, insights, and recommendations. These outputs are intended for informational purposes only and do not constitute financial, legal, or investment advice.

You acknowledge and agree that:

  • AI outputs may not always be accurate, complete, or predictive.
  • Decisions based on FPnAInsights outputs remain solely your responsibility.
  • FPnAInsights shall not be liable for any business, financial, or operational losses arising from reliance on AI-generated insights.

6. Intellectual Property

All intellectual property rights in FPnAInsights, including but not limited to software, algorithms, models, trademarks, content, and design, are owned exclusively by us.

  • You may use the Services only as expressly permitted under these Terms.
  • You may not copy, distribute, display, or create derivative works from our intellectual property without prior written consent.
  • Unauthorized use may result in termination of access and legal action.

7. Third-Party Services and Integrations

FPnAInsights may offer integrations with third-party tools such as ERP or CRM systems. These integrations are provided for convenience, but we do not control or endorse third-party services.

  • Your use of third-party services is subject to their terms and conditions.
  • We are not liable for the performance, security, or availability of third-party providers.

8. Availability and Support

We aim to provide high availability of the Services, but uninterrupted access cannot be guaranteed.

  • Planned Maintenance: We may schedule downtime for upgrades, enhancements, or repairs with notice.
  • Unplanned Outages: Temporary disruptions may occur due to technical failures or external events.
  • Support: Subscription includes access to standard support. Premium or priority support may be offered under separate terms.

9. Termination and Suspension

FPnAInsights and you each reserve the right to terminate the use of the Services.

User-Initiated Termination:

  • You may cancel your subscription at any time via your account settings.
  • Your access will continue until the end of the current billing period, after which your account will be closed.
  • Upon termination, you remain responsible for any fees due up to the effective date of cancellation.

Service-Initiated Termination:

  • We may suspend or terminate your account if you violate these Terms, fail to pay fees, or misuse the Services.
  • Termination results in immediate loss of access. We may retain your data for up to 30 days before deletion.
  • No refunds will be provided unless required by applicable law.

10. Disclaimers and Service Availability

The Services are provided on an "as is" and "as available" basis. While FPnAInsights strives for high availability, uninterrupted service cannot be guaranteed.

  • Planned Maintenance: We may schedule downtime for upgrades, enhancements, or repairs.
  • Unplanned Outages: Temporary disruptions may occur due to factors beyond our control.
  • No Warranty: We disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, or non-infringement.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, FPnAINSIGHTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES RESULTING FROM: your access to or use of the Services; unauthorized access or alteration of your data; or any other matter relating to the Services.

In no event shall our total liability exceed the amount you paid to FPnAInsights for Services during the 12 months prior to the claim.

12. Indemnification

You agree to indemnify and hold harmless FPnAInsights, its affiliates, employees, and contractors from and against any claims, damages, liabilities, or expenses arising from your use or misuse of the Services, violation of these Terms, or breach of applicable laws.

13. Governing Law and Dispute Resolution

These Terms are governed by and construed under the laws of the State of Texas, without regard to conflict of law principles.

  • Any disputes shall be resolved exclusively in the state or federal courts located in Texas.
  • You consent to personal jurisdiction and venue in such courts.
  • Before litigation, both parties agree to attempt resolution through good-faith negotiation or mediation.

14. Changes to Terms

We may update these Terms periodically. Changes will be effective upon posting to our website. You are encouraged to review the Terms regularly. Continued use of FPnAInsights after changes means you accept the updated Terms.
